Job description:

We are currently looking for a Counsel to join our growing team. This position will work with our existing legal team, reporting to the General Counsel.


  • Manage the legal aspects of a wide variety of transactional investment activities, including:
    • Fund formation
    • Investments into companies and funds
    • Secondary transactions
    • Monitoring of existing investments
    • Sale of investments
  • Support the Greenspring legal team in the execution of a wide variety of additional functions and documents, including:
    • Investment due diligence
    • Completion and review of subscription documents
    • Side letters
    • Corporate documents (e.g., charters, resolutions, IRAs, voting agreements)
    • NDAs
    • Vendor contracts
    • Proposals; letters of intent; purchase agreements
    • Entity formation and filings
    • SEC filings
    • Closings
    • Ensure compliance with all federal, state and local laws and regulations (in coordination with the General Counsel and CCO)
  • Maintain data, knowledge and the integrity of Greenspring's operations and legal documents
  • Provide guidance on a variety of corporate governance issues
  • Assist in the entire Greenspring team with questions that come up daily with respect to Greenspring's legacy investments and operations
  • Work closely with the finance, marketing and investor relations teams on a variety of compliance and regulatory matters arising from Greenspring's status as a registered investment advisor regulated by the SEC
  • Coordinate with and direct outside counsel

Desired skills and experience:

  • Candidate should have excellent academic credentials, including a law degree from an accredited law school, and be licensed to practice law in at least one U.S. state
  • 2 - 4 years of top-tier law firm experience. Prior corporate in-house experience preferred
  • Experience in structuring, negotiating and documenting an variety of transactions, including fund formation, venture capital investments into funds and companies, secondary transactions and dispositions of investments in funds and companies
  • Entrepreneurial and hands-on with a strong work ethic. Must be naturally inclined to take initiative and solve problems without direct instruction
  • Ability to multitask and prioritize a dynamic workload in a challenging fast-paced environment with a diverse team
  • Strong analytical skills
  • Ability to provide expert, succinct, focused advice to entire Greenspring team (including senior management)
  • Must maintain the highest ethical and professional standards of excellence and be dedicated to the service of others
  • Must be a critical thinker and organized with a strong attention to detail, excellent communication skills and possess an all-encompassing passion for the importance of the venture capital ecosystem
  • Have a practical, common sense approach to problem solving
