Greenspring Associates, a venture capital platform with $12B under management, invests in established and emerging venture capital fund managers, in expansion stage venture-backed companies and in secondary investments in venture capital funds and companies.  Originally founded in 2000, the Firm now has over 140 employees with offices in Baltimore, Palo Alto, Palm Beach, Beijing & London. 

We are currently looking for a dynamic, business-minded Associate General Counsel to join our growing team. This position will be part of our existing legal team, working with business units across the firm and reporting to the General Counsel.

Job Description/Responsibilities:

  • Provide expert and strategic legal advice to senior management on a broad scope of legal, transactional and regulatory matters to ensure legal compliance and detect and mitigate organizational risk
  • Manage the legal aspects of a variety of investment activities, including:
    • Fund formation and structuring 
    • Investments into startup companies and venture capital funds
    • Secondary transactions
    • Monitoring of existing investment portfolio 
    • Disposition of investments
  • Work with the Greenspring legal team on the execution of a range of functions and documents, including:
    • SPV formation and structuring 
    • Side letters
    • Completion and review of subscription documents
    • Equity financing documents (e.g., charters, purchase agreements, IRAs, voting agreements)
    • Term sheets and letters of intent
    • SEC filings
  • Ensure the firm’s compliance with all federal, state and local laws and regulations (in coordination with the General Counsel and CCO)
  • Maintain data, knowledge and the integrity of Greenspring’s operations and legal documents
  • Assist the entire Greenspring team on a daily basis with questions that arise in connection with Greenspring’s legacy investments and operations
  • Coordinate with and direct outside counsel

Experience/Skills:

  • 5-8 years of top-tier corporate law firm experience; prior in-house venture capital experience preferred
  • Candidate should have excellent academic credentials, including a law degree from an accredited law school, and be licensed to practice law in at least one U.S. state
  • Experience in structuring, negotiating and documenting a variety of transactions, including fund formation, venture capital investments into funds and companies, secondary transactions and dispositions of investments in funds and companies
  • Entrepreneurial and hands-on with a strong work ethic; must be naturally inclined to take initiative and solve problems without direct instruction
  • Ability to multitask and prioritize a dynamic workload in a challenging fast-paced environment with a diverse team
  • Strong analytical skills
  • Ability to provide expert, succinct, focused advice to entire Greenspring team (including senior management)
  • Must maintain the highest ethical and professional standards of excellence and be dedicated to the service of others
  • Must be a critical thinker and organized with a strong attention to detail, excellent communication skills and possess an all-encompassing passion for the importance of the venture capital ecosystem
  • Have a practical, common sense approach to problem solving
